A Memorandum of Cooperation was signed by the Hellenic Telecommunications Agency with Digi Romania and Romania for the sale of its subsidiary in Romania. As stated in its communication by the Hellenic Telecommunications Agency S.A. (‘OTE’), following the announcement from 27.5.2024 regarding the possible sale of the percentage held by Telekom Romania Mobile (“TKRM” or “Company”), it announces that, following the decision by Mr Adrian Tomșa to withdraw, OTE has begun negotiations on the sale of TKRM with Digi Romania S.A (‘Digi’) and Vodafone Romania S.A. (‘Vodafone’). The Parties have signed a MoU and are in the process of submitting an application for approval to the competent authorities of Romania (RCC, FDI, ANCOM). The Memorandum of Understanding provides that certain assets of TKRM will be acquired by Digi, while the remaining assets and the Company will be acquired by Vodafone Romania. The completion of the transaction is subject to the signing of the Share Market Convention and the documentation of the transaction, as well as to approvals by regulatory authorities. Under the law OTE will immediately make the necessary communications to the investment public, if and when the conditions are met.
