Motor Oil and AKTOR have confirmed ongoing discussions regarding potential collaboration in the natural gas sector—specifically concerning Greece’s second Floating Storage and Regasification Unit (FSRU)—but emphasized that no definitive decision or binding agreement has been reached. The statements follow media reports suggesting advanced negotiations for a second Greek LNG terminal, and were issued in response to inquiries from the Hellenic Capital Market Commission.

No Binding Agreement on FSRU Project

Motor Oil clarified that, given its active involvement in the natural gas market—both at the parent company and group level—it routinely explores partnership opportunities with other business groups, including AKTOR, as part of its broader natural gas strategy. However, it stressed that, as of now, no final decision has been made and there is no binding agreement requiring disclosure to investors. The reference relates to the FSRU project operated by Dioryga Gas, a 100% subsidiary of Motor Oil.

Similarly, AKTOR acknowledged that, as part of its expansion in the natural gas sector, it is evaluating various investment options aligned with its business strategy—including discussions with Motor Oil. Still, it underscored that no conclusive decision or binding agreement exists at this stage that would trigger a formal announcement to the investing public.

AKTOR added that it complies fully with applicable disclosure rules—including Article 17 of Regulation (EU) No 596/2014 and the listing requirements of Euronext Athens—and will make timely announcements whenever material developments arise.

AKTOR’s Proposed Acquisition of ELKETOR and THALIS

Separately, AKTOR has submitted a proposal to Motor Oil to acquire a 75% stake in two companies: ELKETOR S.A. and THALIS E.S. A.E. This move targets the waste management, environmental infrastructure, and circular economy sectors.

According to AKTOR’s official announcement, both parties have agreed to enter an exclusive negotiation period aimed at finalizing a binding share purchase agreement and a shareholders’ agreement. ELKETOR operates across waste management, processing facilities for municipal and industrial waste, and public-private partnership projects—including concessions and Strategic Development and Investment Territorial Zones (SDITs)—in Greece and abroad.
