AKTOR Group Acquires AKTOR Concessions for €367 Million

On April 30, 2025, the AKTOR Group finalized a binding agreement to acquire AKTOR Concessions from ELLAKTOR Group for €367 million. This acquisition establishes AKTOR as the second-largest portfolio of PPP and concession projects in Greece, ensuring stable financial resources for the foreseeable future. The group aims to diversify its revenue streams and expand into new sectors. Through this acquisition, AKTOR anticipates creating strong cash flows amounting to €1.2 billion. With the completion of the deal, AKTOR will hold stakes in major concession companies such as the Aegean Motorway (22.2%), AE Bridge (27.7%), Olympia Odos (20.5%), and Moreas (85%). Additionally, AKTOR will enhance its participation in significant PPP projects like ‘Pasifai Odos’ and ‘Pylia Odos,’ controlling 100% of the latter’s equity. The economic benefit is substantial, with estimated future cash flows reaching approximately €500 million after servicing AKTOR Concessions’ debt. AKTOR Chairman and CEO, Alexandros Exarchou, emphasized that the acquisition accelerates their strategic goal of achieving an EBITDA of €40 million from PPP and concession activities. The transaction awaits customary approvals, including from the Competition Commission and ELLAKTOR’s shareholders, with completion expected by Q3 2025. Deloitte served as the financial advisor, GRIT Capital Partners and EUROXX Securities as financing advisors, and ‘Zeppos & Yiannopoulos’ as legal counsel.
